Article III: Membership
Section 1. Number and Limitations.
There shall be one class of Membership in this Corporation. The Membership shall consist of persons designated from time to
time, in the manner described in this Section, by the People's Housing Council of Berkeley, California.
The People's Housing Council is an unincorporated federation of people's organizations and neighborhood organizations of Berkeley,
organizations whose interests and goals include the preservation and provision of housing for low-income and lower-middle-income
individuals and families resident in Berkeley. The principal purpose of the People's Housing Council is to achieve these goals.
The original Membership of this Corporation shall consist of persons designated in November 1972 by the People's Housing Council.
In November 1973, and in November of each year thereafter, the People's Housing Council shall designate Members of this Corporation
anew; at such times, the People's Housing Council shall consider each incumbent Member separately and individually, and shall,
at its pleasure, either re-designate or replace her or him.

At such times, the People's Housing Council shall designate, by majority vote in each case, one Member of this Corporation
from each organization affiliated to the People's Housing Council at the time of such designation. Each such person shall
be a member of the affiliated organization from which he or she is designated. Loss of membership in such affiliated organization
thereafter, for any reason, shall immediately disqualify any Member of this Corporation from Membership until he or she qualifies
again and is designated again by the People's Housing Council.
Except as provided in the next paragraph, Members of this Corporation shall take office on December 1 of each year, and their
terms shall end with November 30 of each year, provided, however, that each Member must maintain eligibility as defined in
the preceding paragraph, and provided further that any Member shall be entitled to resign her or his Membership at any time.
A Member shall resign his or her Membership by giving written notice to the Secretary of the Corporation, who shall notify
the People's Housing Council of the resignation. The People's Housing Council shall be entitled to replace, by majority vote,
any Member who dies or resigns or loses eligibility, and the qualifications of the replacement Member shall be as specified
in the preceding paragraph for other members. The term of office of the replacement Member shall end with the next ensuing
November 30, except as provided in the next paragraph.

The provisions of the preceding paragraph as to the term of office of Members of this Corporation may be waived, and shall
be waived, only in the event that the People's Housing Council fails to designate Members anew in November of any year as
provided in the third and fourth paragraphs of this Section, in which case Members shall continue their Membership until the
first day of the month following the month in which the People's Housing Council shall designate Members anew. If the People's
Housing Council ceases to function, the Members of this Corporation shall continue their Membership and Corporate functions,
but shall have the duty of trying to revive and continue the People's Housing Council with its original structure, aims, purposes,
powers, and duties, including the powers and duties specified in these By-Laws.
